BP-OIL HUNGARY LTD - MOBIL BENZINKÚT (FILLING STATION) LTD / MOBIL OIL HUNGARY TRADING LTD

Multinational undertakings British Petroleum Company and Mobil Petroleum Company Inc, which are also present on the Hungarian market through their subsidiaries establish joint ventures which affect their activities in their branches of producing and marketing fuel and lubricants.

The parties notified the planned merger to the European Commission that declared on the basis of the merger regulation of the Community (Regulation (EEC) No. 4064/89 on the control of concentrations between undertakings) that it did not object the notified merger.

Since in 1996 the aggregate net turnover of the Hungarian subsidiaries concerned exceeded the threshold laid down in the Competition Act (HUF 10 billion) the establishment of the new undertaking being under joint control of the parties was subject to OEC authorization.

In its decision the OEC Competition Council stated that though the net turnover of the firms exceeds the threshold laid down by the Act taking into account the numerous participants of the market concerned (distributing motor vehicle fuel in Hungary) as well as the market share of the established undertakings till now and in future the JVs do not create and strengthen dominant positions on the relevant market and on the merits they do not influence the competition between the undertakings concerned, either.

On the basis of all these the OEC permitted the establishment of the JVs according to the application.
